Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Zaicore Software Solutions Inc. ("ZAICORE," "we," "us," or "our"), a corporation incorporated under the laws of Canada.

By accessing or using our website, mobile applications, or any of our identity protection services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

You must be at least 18 years of age and a resident of Canada to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements.

Description of Services

ZAICORE provides AI-powered identity protection services, including but not limited to:

• Dark Web Monitoring: Scanning of dark web marketplaces and data breach databases for your exposed personal information.
• Data Broker Removal: Identification and submission of removal requests to data brokers holding your personal information.
• Voice Clone Detection: AI-powered detection of unauthorized voice clones created from your voice.
• Threat Alerts: Real-time notifications about potential identity threats and recommended actions.
• Identity Protection Guidance: Personalized action plans and security recommendations.

The specific features available to you depend on your subscription plan. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.

Account Registration and Security

To access certain features of our Services, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password confidential and secure
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

User Obligations and Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Services for any illegal or unauthorized purpose
• Submit false, misleading, or fraudulent information
• Use the Services to monitor or protect the identity of anyone other than yourself without proper authorization
• Attempt to gain unauthorized access to any part of the Services or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any aspect of the Services
• Use automated systems or software to extract data from the Services
• Share your account credentials with third parties
• Resell, sublicense, or commercially exploit the Services without our written consent
• Use the Services in any manner that could damage, disable, or impair the Services

Payment Terms

Subscription Plans

Access to our Services requires a paid subscription. By subscribing, you agree to pay the applicable fees as described on our pricing page. All prices are in Canadian dollars unless otherwise stated.

Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selection). Your payment method will be automatically charged at the beginning of each billing period.

Taxes

All fees are exclusive of applicable taxes (including GST/HST/PST), which will be added to your invoice based on your location.

Price Changes

We reserve the right to modify our prices. Any price changes will be communicated at least 30 days in advance and will take effect at the beginning of your next billing cycle.

Refunds

Subscription fees are generally non-refundable. However, if you are unsatisfied with our Services, you may cancel within 30 days of your initial purchase for a full refund. After 30 days, no refunds will be provided for partial subscription periods.

Cancellation and Termination

Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting us at booking@zaicore.com. Cancellation will take effect at the end of your current billing period, and you will continue to have access to the Services until that time.

Termination by Us

We may suspend or terminate your access to the Services immediately, without prior notice, if:

• You breach any provision of these Terms
• You fail to pay subscription fees when due
• We are required to do so by law
• We reasonably believe your conduct may harm ZAICORE, our users, or third parties

Effect of Termination

Upon termination, your right to access the Services will cease immediately. We will retain your data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination will remain in effect.

Intellectual Property Rights

The Services, including all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, software, and the underlying code), are owned by ZAICORE or our licensors and are protected by Canadian and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial purposes, subject to these Terms.

You retain ownership of any content you submit to the Services. By submitting content, you grant us a worldwide, royalty-free license to use, process, and store such content solely to provide the Services to you.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from the Services will be accurate or reliable
• All instances of your exposed personal information will be detected
• Data broker removal requests will be successful in all cases
• All voice clones of your voice will be detected

ZAICORE provides tools and services to help protect your identity, but we cannot guarantee complete protection against all identity threats. You acknowledge that no security measure is perfect and that you use the Services at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZAICORE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or goodwill
• Any damages arising from identity theft, fraud, or unauthorized access to your accounts
• Any damages resulting from your reliance on the Services

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless ZAICORE and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your misconduct.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may submit the dispute to binding arbitration in accordance with the ADR Institute of Canada Arbitration Rules.

The arbitration shall take place in Toronto, Ontario, and shall be conducted in English. The arbitrator's decision shall be final and binding on both parties.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ZAICORE regarding the Services.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and revising the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
